Effective Date: August 17, 2026 · Last Updated: August 17, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (individually and, if applicable, on behalf of the entity you represent, collectively "you" or "User") and ContractBidPro, LLC ("Company," "we," "our," or "us"), governing your access to and use of the ContractBidPro platform, including all associated websites, APIs, mobile applications, software, and services (collectively, the "Service").
By clicking "I Agree," "Get Started," "Subscribe," or any similar button, by creating an account, or by otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, in which case "you" refers to that entity. If you do not have such authority, you must not accept these Terms or use the Service.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE. YOUR CONTINUED USE OF THE SERVICE CONSTITUTES YOUR ONGOING ACCEPTANCE OF ANY UPDATES TO THESE TERMS.
2. Description of Service
ContractBidPro is a subscription-based software-as-a-service ("SaaS") platform that provides, among other features:
- Automated discovery of government contracting opportunities published on SAM.gov and related federal procurement portals;
- AI-assisted generation of draft proposal documents in response to solicitations, including Requests for Proposals (RFPs), Requests for Quotations (RFQs), and Sources Sought notices;
- Extraction, parsing, and analysis of solicitation attachments and documents;
- Bid pipeline management tools;
- Proposal formatting and export in PDF and Word document formats;
- Email delivery of proposal documents; and
- Ancillary tools including price books, past performance libraries, and proposal editing interfaces.
The Service is a productivity and drafting tool only. It is not a procurement agent, a contracting officer, a legal firm, a compliance certifier, or a registered government contractor. We make no representations regarding the suitability of any output for any specific procurement action.
We reserve the right to modify, suspend, discontinue, or limit any feature of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.
3. Eligibility & Account Registration
3.1 Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for use by businesses and professionals engaged in or seeking government contracting opportunities, and is not intended for personal, household, or consumer use.
3.2 Account Creation
You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for all activities that occur under your account.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to immediately notify us at legal@contractbidpro.com of any actual or suspected unauthorized access to or use of your account. We will not be liable for any losses arising from unauthorized use of your account.
3.4 One Account Per User
You may not create more than one account for the purpose of circumventing usage limits, subscription plans, or any other restriction imposed by these Terms or the Service. We reserve the right to terminate duplicate or fraudulent accounts.
4. Subscriptions & Billing
4.1 Paid Plans
The Service is offered on a subscription basis. By subscribing to a paid plan, you authorize us (through our payment processor, Stripe, Inc.) to charge your designated payment method on a recurring basis at the rates disclosed at the time of purchase. All prices are in U.S. dollars and are exclusive of applicable taxes unless otherwise stated.
4.2 Billing Cycles
Subscriptions are billed in advance on a monthly or annual basis, as selected at checkout. Monthly subscriptions renew automatically each calendar month. Annual subscriptions renew automatically each year. Billing begins on the date of initial subscription.
4.3 Overage Charges
If your usage exceeds the proposal generation limit included with your subscription plan during any billing period, you will be charged an overage fee of $1.50 per additional proposal generated, billed at the end of the applicable billing period. You authorize us to charge these overages to your payment method on file.
4.4 Plan Changes
You may upgrade your subscription plan at any time; upgrades take effect immediately on a prorated basis. Downgrades take effect at the end of your current billing period. We reserve the right to adjust pricing with at least 30 days' advance notice to active subscribers.
4.5 Cancellation
You may cancel your subscription at any time through the billing portal accessible within the Service. Cancellation takes effect at the end of the then-current billing period. No refunds or credits will be issued for partial periods, unused proposal credits, or unused features, except where required by applicable law.
4.6 No Refunds
ALL FEES ARE NON-REFUNDABLE EXCEPT AS EXPRESSLY SET FORTH HEREIN OR AS REQUIRED BY APPLICABLE LAW. We do not issue refunds for unused subscription periods, downgrade differences, or dissatisfaction with AI-generated output.
4.7 Failed Payments
If a payment fails, we may suspend access to your account without notice until payment is successfully processed. We may retry failed payments multiple times. You are responsible for maintaining a valid payment method on file.
4.8 Taxes
You are responsible for all taxes, levies, or duties imposed by taxing authorities associated with your use of the Service, excluding taxes on our net income. We may collect applicable taxes where required by law.
5. AI-Generated Content Disclaimer
5.1 Nature of AI Output
The Service uses large language model ("LLM") artificial intelligence technology, including third-party AI providers such as Anthropic, PBC, to generate proposal drafts, summaries, and related content ("AI Output"). AI Output is probabilistic and generative in nature. It is produced by statistical models trained on large datasets and does not reflect legal analysis, expert professional judgment, or guaranteed factual accuracy.
5.2 No Warranty of Accuracy or Completeness
WE MAKE NO WARRANTY, EXPRESS OR IMPLIED, THAT ANY AI OUTPUT IS ACCURATE, COMPLETE, CURRENT, FREE OF ERRORS, OR FIT FOR ANY PARTICULAR PURPOSE. AI Output may contain factual inaccuracies, omissions, outdated information, hallucinations, legally problematic statements, or content that does not comply with the requirements of any specific solicitation or applicable law.
5.3 User Responsibility to Review
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EDITING, VERIFYING, AND APPROVING ALL AI OUTPUT BEFORE SUBMISSION TO ANY GOVERNMENT AGENCY, PRIME CONTRACTOR, OR OTHER PARTY. Submission of any proposal generated in whole or in part using the Service is entirely at your own risk. We strongly encourage you to have all proposals reviewed by qualified legal counsel, procurement professionals, and subject-matter experts before submission.
5.4 No Guarantee of Award or Selection
We make absolutely no representation, warranty, or guarantee that use of the Service will result in contract awards, favorable evaluations, selection, or any other procurement outcome. Government contracting outcomes depend on numerous factors entirely outside our control, including but not limited to price competition, agency priorities, evaluation criteria, socioeconomic preferences, and congressional appropriations.
5.5 Representations Made in Proposals
You acknowledge that any certifications, representations, or warranties contained in or accompanying proposals submitted to government agencies are made by you, not by us. We are not responsible for false statements, misrepresentations, or omissions in any proposal you submit. Submitting false statements to the U.S. government may constitute a federal crime under 18 U.S.C. § 1001 and may result in criminal prosecution, civil liability, debarment, and other consequences. You bear sole responsibility for the truthfulness and accuracy of all submissions.
5.6 AI Model Updates
We may change the underlying AI models, prompting strategies, or processing pipelines used to generate AI Output at any time without notice. Such changes may affect the quality, style, length, or content of AI Output.
6. Not Legal, Procurement, or Professional Advice
THE SERVICE DOES NOT PROVIDE LEGAL ADVICE, PROCUREMENT ADVICE, COMPLIANCE ADVICE, ACCOUNTING ADVICE, TAX ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. Nothing in the Service, in any AI Output, or in any communication from us or our personnel constitutes or should be construed as professional advice of any kind.
The Service is a software tool designed to assist in the drafting of documents. Use of the Service does not create an attorney-client relationship, a consultant relationship, or any other professional relationship between you and us. Any information provided by the Service is for general informational and drafting-assistance purposes only.
You should always consult qualified legal counsel, certified public accountants, procurement specialists, and other applicable professionals before making business decisions, submitting government proposals, making regulatory representations, or taking any action with legal or financial consequences. We expressly disclaim any liability for actions taken in reliance on content generated by the Service.

We are not a System for Award Management (SAM.gov) official, a contracting officer, a small business certifier, or an authorized compliance assessor. Any certifications you make in connection with government proposals are your own representations, not ours.
7.3 Debarment and Suspension
We are not responsible for verifying your eligibility, debarment status, or suspension status with respect to any government contract or program. You represent and warrant that you are not debarred, suspended, or otherwise ineligible to participate in federal procurement programs as of the date you use the Service.

9. Intellectual Property
9.1 Our Intellectual Property
The Service and all content, features, and functionality thereof — including but not limited to software, code, algorithms, interfaces, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and the selection and arrangement thereof — are and will remain the exclusive property of ContractBidPro, LLC and its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and foreign jurisdictions. 9.4 AI Output Ownership
Subject to your compliance with these Terms, we assign to you all rights, title, and interest we may have in AI Output generated specifically from your User Content and inputs. You acknowledge that similar or identical outputs may be generated for other users and that we do not warrant the uniqueness of any AI Output. We retain the right to use aggregated, de-identified data derived from usage of the Service to improve our models and services.
9.5 Feedback
If you provide us with any suggestions, ideas, enhancement requests, recommendations, or other feedback ("Feedback"), you grant us an irrevocable, non-exclusive, royalty-free, perpetual license to use, incorporate, and commercialize such Feedback without restriction or compensation to you.
10. User Content & Data
10.1 Your Representations
You represent and warrant that: (a) you own or have sufficient rights to all User Content you provide; (b) your User Content does not infringe, misappropriate, or violate the rights of any third party; (c) your User Content does not contain classified, controlled unclassified, or export-controlled information unless you have all necessary authorizations to process such information on a commercial cloud platform; and (d) your User Content complies with all applicable laws.
10.2 Prohibited Content

10.3 Data Retention
We retain User Content and account data for as long as your account is active and for a reasonable period thereafter consistent with our Privacy Policy and applicable legal obligations. Upon termination, we may delete your data after a reasonable transition period. You are responsible for exporting any data you wish to retain prior to termination.
11. Third-Party Services
The Service integrates with and relies on third-party services, including but not limited to:
- SAM.gov (System for Award Management) — operated by the U.S. General Services Administration. We are not affiliated with, endorsed by, or authorized by SAM.gov or any federal agency. SAM.gov data is provided "as is" and we disclaim all liability for the accuracy or availability of SAM.gov data;
- Stripe, Inc. — our payment processor. Your use of payment features is subject to Stripe's Terms of Service and Privacy Policy;
- Anthropic, PBC — provider of AI language model services used to generate AI Output. Your interactions with AI features are processed by Anthropic subject to their usage policies;
- Resend — email delivery provider. Proposal emails are transmitted via Resend's infrastructure.
We are not responsible for the availability, accuracy, or performance of any third-party service. Third-party services are subject to their own terms and privacy policies, and we encourage you to review them. We reserve the right to change third-party service providers at any time.
12. Privacy

However, no method of transmission over the Internet or method of electronic storage is completely secure. We cannot guarantee absolute security, and you acknowledge that you provide User Content at your own risk.
In the event of a security incident affecting your data, we will notify you as required by applicable law. You agree to promptly notify us of any actual or suspected security breach involving your account at legal@contractbidpro.com.

THE FOREGOING LIMITATIONS APPLY WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
16. Indemnification
You agree to defend, indemnify, and hold harmless ContractBidPro, LLC, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with our defense of any such claim.
17. Dispute Resolution & Arbitration
17.1 Mandatory Binding Arbitration
Except as provided in Section 17.4 below, any and all disputes, claims, or controversies arising out of or relating to these Terms, the Service, or any aspect of the relationship between you and us (collectively, "Disputes") shall be resolved exclusively by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims of $250,000 or more), in each case as modified by these Terms. The arbitration shall be conducted in Wilmington, Delaware, or, if agreed by the parties, by videoconference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
17.2 Class Action Waiver
YOU AND CONTRACTBIDPRO, LLC EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING IN ARBITRATION OR IN COURT. All Disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding.
17.3 Jury Trial Waiver
TO THE EXTENT ANY DISPUTE IS NOT SUBJECT TO ARBITRATION, YOU AND CONTRACTBIDPRO, LLC EACH IRREVOCABLY WAIVE THE RIGHT TO A TRIAL BY JURY.
17.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, misappropriation of trade secrets, or unauthorized access to or use of the Service, pending resolution by arbitration.
17.5 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@contractbidpro.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you are opting out of arbitration. If you opt out, all disputes shall be resolved in the courts specified in Section 18 below.
17.6 Informal Resolution
Before initiating arbitration, you agree to first contact us at legal@contractbidpro.com and provide a written description of the Dispute, the relief sought, and your contact information. We will attempt to resolve the Dispute informally within 30 days. If the Dispute is not resolved within that period, either party may commence arbitration.
18. Governing Law
These Terms and any Dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. To the extent any Dispute is not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Delaware, and you waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or otherwise.
19. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by: (a) posting the revised Terms on our website with an updated effective date; (b) sending an email to the address associated with your account; or (c) displaying a prominent notice within the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
Changes to subscription pricing require at least 30 days' advance notice to active subscribers and will not take effect until the next billing cycle following such notice.

We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice, if: (a) you breach any provision of these Terms; (b) we determine, in our sole discretion, that your use of the Service creates legal risk for us or third parties; (c) we are required to do so by law or regulatory authority; or (d) your account has been inactive for an extended period. We may, but are not obligated to, provide you with notice of termination.
20.3 Effect of Termination
Upon termination, your license to use the Service immediately terminates and you must cease all use of the Service. Sections 5, 6, 7, 9, 10, 14, 15, 16, 17, 18, and 21 survive any termination or expiration of these Terms.
21. Miscellaneous
21.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings of the parties.
21.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
21.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any right or provision must be in writing and signed by an authorized representative of ContractBidPro, LLC to be effective.
21.4 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision shall be null and void. These Terms inure to the benefit of and are binding upon the parties and their respective permitted successors and assigns.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree not to export or re-export the Service or any AI Output in violation of U.S. export control laws and regulations.
21.8 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Nothing in these Terms shall be construed as creating any rights or remedies for any person other than the parties hereto.
